End-User License Agreement

This End-User License Agreement ("Agreement") is a binding agreement between you ("User" or "you") and Systematiq Accounting LLC ("Systematiq," "we," "us," or "our"), an accounting firm based in New York. This Agreement governs your use of Systematiq AP Agent (the "Application"), an internal tool that integrates with Intuit's QuickBooks Online platform to automate accounts payable workflows.

By accessing or using the Application, you agree to be bound by this Agreement. If you do not agree, do not use the Application.

1. License Grant

Subject to your compliance with this Agreement, Systematiq grants you a limited, non-exclusive, non-transferable, revocable license to use the Application solely for authorized internal accounting and accounts payable work in connection with QuickBooks accounts that Systematiq is authorized to access.

2. Restrictions

You agree not to, and will not permit others to:

• License, sell, rent, lease, transfer, assign, distribute, or otherwise commercially exploit the Application
• Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the Application
• Remove, alter, or obscure any proprietary notice of Systematiq or its affiliates
• Use the Application in any way that violates applicable U.S. federal or state law, including data protection and privacy laws, or any professional or ethical obligations applicable to accounting services
• Use the Application to access, store, or transmit malicious code, or to interfere with the integrity or performance of the Application or third-party services, including Intuit's QuickBooks platform
• Access QuickBooks accounts that you are not authorized by Systematiq to access

3. Intuit and QuickBooks

The Application integrates with Intuit's QuickBooks Online platform via Intuit's API to automate accounts payable workflows. Use of QuickBooks is subject to Intuit's own terms and policies, which are separate from this Agreement. Systematiq is not affiliated with, endorsed by, or sponsored by Intuit Inc. Systematiq is responsible for maintaining valid QuickBooks authorization for each account the Application accesses.

4. Authorization

The Application accesses QuickBooks data via Intuit's OAuth flow. Authorization may be revoked at any time through the relevant Intuit account settings. You are responsible for safeguarding your credentials and for all activity under your account.

5. Intellectual Property

The Application, including all content, features, and functionality, is owned by Systematiq and its licensors and is protected by U.S. copyright, trademark, and other intellectual property laws. No rights are granted to you other than the limited license expressly set forth in this Agreement.

6. Data and Privacy

Your use of the Application is also governed by our Privacy Policy, which is incorporated into this Agreement by reference.

7. Disclaimer of Warranties

The Application is provided "as is" and "as available," without warranty of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Systematiq does not warrant that the Application will be uninterrupted, error-free, or secure.

8. Limitation of Liability

To the maximum extent permitted by law, in no event will Systematiq be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to this Agreement or your use of the Application. Systematiq's total cumulative liability will not exceed one hundred U.S. dollars ($100).

9. Indemnification

You agree to indemnify and hold harmless Systematiq and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Application or your violation of this Agreement.

10. Term and Termination

This Agreement is effective until terminated. Systematiq may terminate or suspend access to the Application at any time, with or without cause or notice. Sections 5, 7, 8, 9, and 12 survive termination.

11. Modifications

We may modify this Agreement at any time. We will post the updated Agreement on this page and update the "Last updated" date. Continued use of the Application after changes take effect constitutes acceptance.

12. Governing Law

This Agreement is governed by the laws of the State of New York, without regard to its conflict of laws principles. Any dispute will be resolved exclusively in the state or federal courts located in Kings County, New York.
